Article 1

The Red Cross Society of the Republic of China (hereinafter the Society) is established in accordance with the Law of the Republic of China, the Geneva Conventions, and the spirit of principles resolved by the International Conference of the Red Cross and Red Crescent to the purpose of developing fraternity services.

Article 2

The Society takes the name of the Red Cross with a symbol of a white background and a center cross of red. 
The emblem of the Society is a white background in the shape of the plum flower and a center cross of red with the Society’s official English name “The Red Cross Society of the Republic of China” at the top of the outer frame and official Chinese name "中華民國紅十字會" at the bottom.

Article 3

The Society assists the government on managing humanitarian matters as follows:
1.  To care wounded soldiers during the war and relief prisoners of war and civilians.
2.  To rescue and relief domestic and foreign disasters.
3.  To prevent disease, enhance health, and reduce disaster risks.
4.  Provide services regarding matters designated by the government and employment services.
5.  Offer services on long-term care.
6.  Provide services on the business and other matters in conformity to the spirits and principles of the Society.

Article 4

The Society is committed to and guided by the seven Fundamental Principles of the International Red Cross and Red Crescent Movement:
    ● Humanity
    ● Impartiality
    ● Neutrality
    ● Independence
    ● Voluntary Service
    ● Unity
    ● Universality

Article 5

The Society is the sole organization affiliated with the International Red Cross and Red Crescent Movement and has subordinate branch offices.

Article 6

The Society shall be organized in accordance with the national jurisdiction of the Republic of China and manage the general affairs nationwide.

Article 7

The Society shall be organized in accordance with the national jurisdiction of the Republic of China and could establish a branch office in each municipal/magistrate jurisdiction.  Each branch office shall have the name of the Red Cross in suffix with the name of city or county where the office reside in prefix.  Each branch office shall be the subordinate and a member of the Society.

Article 8

The Society shall reside in the same region as the location of the Central Government is located.  It may set up branch offices in other regions after being approved by the competent authority.
The articles of the branch offices shall be drafted by the Board of Directors and come into effect after being approved by the competent authority.  
The establishment and change of address of the Society and its branch offices shall be reported to and approved for recording by the competent authority. 
The branch offices of the Society may set up branches as necessary, provided that the Society in next level has agreed.

Article 9

The Society shall plan for matters as follows:
1.  The overall goals of the Red Cross for business development.
2.  National or material events requiring national mobilization.
3.  Matters designated by the Central Government.
4.  Coordination of disputes among branch offices.
5.  Rescue and relief of foreign disasters and other matters regarding foreign affairs.
6.  Other matters need to be collectively organized by the Society.
The Society may authorize its branch offices to manage preceding businesses after being approved by the Convention of Members (and Delegates); the branch offices shall manage preceding businesses after being approved by their members (delegates) and reported to and authorized by the Society.  In times of emergency, a Board of Directors Interim Meeting may be called to authorize the branch offices to manage preceding businesses, followed by the approval by the Convention of Members (and Delegates) afterwards.

Article 10

All applications shall be submitted with as application form and membership dues paid in full after qualification after review.  The Society will register the member into membership list and issue the membership certificate.  The membership list of each branch office shall be reported to the Society for future reference. 
Qualification and membership review process shall be established by the Board of Directors.

Article 11

The members of the Society are as follows:
1.  Honorary member: a member of the Society with special contribution and acknowledged by the Board of Directors.
2.  Branch office group member: each branch office of the Society shall register as the Society’s group member and appoint representatives to attend the Convention of Members (and Delegates) to exercise the rights of a member. The number of representative, calculation basis, and verification and reporting requirements are as follows:
(1) Branch office group member with the number of members below a hundred shall appoint one representative; an addition of one representative shall be appointed for each addition of a hundred members; the total number of representative shall not exceed four.
(2) The original Taiwan Province Branch, Taipei City Branch, New Taipei City Branch, Taoyuan City Branch, Taichung City Branch, Kaohsiung City Branch, and New Kaohsiung City Branch shall each appoint four representatives and are not restricted by the preceding paragraph.
(3) Each appointed representative shall be approved by the Convention of Members (and Delegates) of each branch office; the Convention minutes and member roster shall be reported to the Society; types of member, individual name, group member name and its representative, national ID number, address, and member ID number shall be recorded in the member roster.
3.  Group member: national public or private professional or social organizations, legal entities, government agencies, colleges, and universities; each group member shall appoint one representative.
4.  Individual member: any person who agrees with the spirit of principles of the Society, over the age of 20, and with the capacity to make juridical acts.
The application will be suspended in two months prior to the Convention of Members and Delegates.

Article 12

A member (delegate) has the right to vote, elect, be elected and recall.  Each member (delegate) has one and only one vote. 
An honorary member does not has the preceding right.

Article 13

Each member is obligated to abide by the Articles herein, resolutions and to pay membership dues.
The membership of the members who fail to pay their dues shall be suspended after being approved by the Board of Directors.  Members who wish to resume the membership shall submit the application to the Board of Directors for review and approval and pay the accumulated membership dues in full. 
Members who have not paid membership dues for two consecutive years shall be deemed to have withdrawn.

Article 14

In the event a member violates the law, the Articles herein or the resolutions enacted by the Convention of Members (and Delegates), the Board of Directors may issue a warning or suspend that member’s membership.  In the event of a gross violation, the Convention of Members (and Delegates) may vote to expel that member.

Article 15

Where there is one of following circumstances, the member shall be withdrawn:
1.  Death.
2.  The qualification of membership is deprived.
3.  The member declared in writing that he/she withdrawn.
4.  The member is expelled by the resolution of Convention of Members (and Delegates).

Article 16

The membership dues paid shall not be reimbursable if the membership is expelled or withdrawn.

Article 17

The Society regards the Convention of Members (and Delegates) as the highest authority.  
The tenure of office for each member delegate shall be four years.
When the number of members exceeds three hundred, the member delegates shall be selected in proportion to the region.  The Convention of Members (and Delegates) shall be held afterwards to exercise its authority.

Article 18

The Convention of Members (and Delegates) shall review and decide the following matters:
1.  The making and amendment of the Articles herein.
2.  The election or recall of the directors and supervisors.
3.  The annual work plan, budget, work report, and final account.
4.  The disposition, creation of obligation, and purchase of real property.
5.  The dismissal of a member (delegate).
6.  To consolidate or split.
7.  To dissolve.
8.  Other material matters related to the rights and obligations of members.

Article 19

The Society shall have a Board of Directors consisting of twenty-five directors elected by the Convention of Members (and Delegates).
Directors shall be elected in accordance with the number of votes received.  A draw shall be organized for decision in the event of equal votes.
Five alternate directors shall be elected in accordance with the number of votes received during the election for directors.  An alternate director shall assume the position in the event of a vacancy of a director; priority shall be given in accordance with the number of votes received from high to low.
A by-election shall be conducted when the vacancy of directors exceeds 20 percent.
The tenure of the alternate or by-elected director shall be the same as the director of whom he/she assumes.  In the event of by-elected as the President, his/her tenure of office shall be counted against the number of consecutive terms served.

Article 20

The functions and authorities of Board of Directors shall be as follows:
1.  To decide the date of the National Convention of Members (and Delegates) and important motions.
2.  To review and approve the qualification of members (delegates).
3.  To give warning to, dismiss, or resume members.
4.  To propose referential list of directors and supervisor for election of the next session.
5.  To elect or recall Executive Directors, Vice Presidents, and President.
6.  To decide the resignation of the directors, Executive Directors, Vice Presidents, and Presidents.
7.  To invite Honorary President and Advisers.
8.  To decide the establishment of branch offices.
9.  To draw up the annual work plan, budget, work report, and final account.
10.  To employ or dismiss important staffs.
11.  Other necessary executive matters.

Article 21

The Society shall have seven Executive Directors elected by and among the directors.  Directors shall elected among Executive Directors one President and one to three Vice Presidents.
The President shall manage all internal affairs, act as a representative of the Society, and serve as the chairperson of the Convention of Members (and Delegates) and the Board of Directors.
In the event of the inability of the President to exercise his/her powers and duties, he/she shall appoint one Vice President to act on his/her behalf.  Vice Presidents shall recommended among themselves one person to act on the President’s behalf if appointment has not or cannot be made.  In the event of the inability of a Vice Presidents to exercise his/her powers and duties, he/she shall appoint one Executive Director to act on his/her behalf.  Executive Directors shall recommended among themselves one person to act on the Vice President’s behalf if appointment has not or cannot be made.
A by-election shall be hosted within a month in the event of a vacancy in the office of the President, Vice President, or Executive Director.

Article 22

The Society shall have a Board of Supervisors consisting of seven supervisors elected by the Convention of Members (and Delegates).
Supervisors shall be elected in accordance with the number of votes received.  A draw shall be organized for decision in the event of equal votes.
Two alternate supervisors shall be elected in accordance with the number of votes received during the election for supervisors.  An alternate supervisors shall assume the position in the event of a vacancy of a supervisor; priority shall be given in accordance with the number of votes received from high to low.
A by-election shall be conducted when the vacancy of supervisors exceeds 20 percent.
The tenure of the alternate or by-elected supervisor shall be the same as the supervisor of whom he/she assumes.

Article 23

The functions and authorities of the Board of Supervisors shall be as follows:
1.  To supervise the implementation of works by the Board of Directors.
2.  To review annual work report and final account.
3.  To elect or recall Executive Supervisors.
4.  To decide the resignation of supervisors and Executive Supervisors.
5.  To supervise such other matters as deemed relevant.

Article 24

The Board of Supervisors shall have two Executive Supervisors elected among themselves.  The Executive Supervisors shall recommended between themselves a convener to supervise the Society’s affairs and serve as the chairperson of the Board of Supervisors.
In the event of the inability of the convener to exercise his/her powers and duties, the other Executive Supervisor shall serve as his/her delegate.
A by-election shall be hosted within a month in the event of a vacancy in the office of the Executive Supervisor.

Article 25

Directors and supervisors are unpaid positions.
The tenure of office of directors and supervisors shall be four years and eligible for re-election.  Re-election of the President shall be limited to once.
The tenure of office of directors and supervisors shall start on the date of the first Board of Directors Meeting of the current session.

Article 26

The directors and supervisors of the Society shall have good reputation, passionate to service, related experiences and capable of developing Society affairs.
The nominees for directors and supervisors are unnecessary the representatives attending the Convention of Members (and Delegates), but they must be the members of the Society.

Article 27

Where there is one of following circumstances, the director or supervisor shall be withdrawn:
1.  The qualification of membership is deprived.
2.  The person is subject to suspension of power for over half of his/her tenure of office.
3.  Resign with the approval of the Board of Directors or Supervisors.
4.  The person is expelled.

Article 28

The Society may have one Honorary President and certain number of Advisers.  Their tenure of office shall be the same as that of the directors in current session. 

Article 29

The Society shall have one Secretary-General, one to two Deputy Secretary-Generals and certain number of other staffs.  Departmental offices may be set up for the purpose of managing Society affairs.
Preceding staffs shall not be the directors or supervisors.

Article 30

The Society may set up Committees, Groups or other internal organizations; their bylaws shall be first submitted to the Board of Directors for approval and then executed, which is also applied to amendment.

Article 31

The National Convention of Members (and Delegates) shall be convened by the President once per year.  Special meetings may be convened if deemed necessary by the Board of Directors, or upon request by more than one-tenth members, or upon request by the Board of Supervisors.

Article 32

The Society shall notify members and make public announcement two months prior to the National Convention of Members (and Delegates).

Article 33

If a member (delegate) is unable to attend the National Convention of Members (and Delegates) in person, he/she may designate other member to act on his/her behalf via written proxy.  However, each member may carry no more than one proxy.

Article 34

The resolution of the Convention of Members (and Delegates) shall be adopted by concurrence of a majority of the votes in a meeting attended by attendees representing over one half of all members.  However, at least two-thirds of the attendees have to consent when adopting resolution concerning the following matters:
1.  The making and amendment of the Articles herein.
2.  The dismissal of a member (delegate).
3.  The dismissal of a director or supervisor.
4.  The disposition of property.
5.  The dissolution of the Society.
6.  Other material matters related to the rights and obligations of members.
After the Society registered as a legal entity, the amendment of the Articles herein shall be adopted by concurrence of a majority of the votes by more than three-fourths of the attendees, or two-thirds of all members via written proxy.
The dissolution of the Society may be adopted any time with a majority of the votes by more than two-thirds of all members.

Article 35

The Board of Directors Meeting and the Board of Supervisors Meeting shall be convened once every half year; a joint or special meeting may be convened when necessary.
Except for special meetings, the written notices for all preceding meetings shall be given in seven days prior to the meetings and reported to the competent authority for record.
The resolution of the meetings shall be adopted by concurrence of a majority of the votes in a meeting attended by attendees representing over one half of them.

Article 36

A supervisor shall attend the Board of Directors Meeting and the Board of Supervisors Meeting in person and may not designate any other person to act on his/her behalf.  In the event of an absence for two consecutive meetings, the supervisor shall be deemed to have resigned; the alternate director or alternate supervisor next in line shall assume his/her position.

Article 37

The funding sources of the Society are as follows:
1.  Membership registration fees; should be paid at registration.
    ● Individual member: Three thousand New Taiwan dollars.
    ● Branch office group member: Five thousand New Taiwan dollars.
    ● Group member: Five thousand New Taiwan dollars.
2.  Membership dues: 
    ● Individual member:  Two thousand New Taiwan dollars.
    ● Branch office group member:  Two thousand New Taiwan dollars.
    ● Group member:  Two thousand New Taiwan dollars.
3.  Donations by members.
4.  Commission subsidies
5.  Fund and interests
6.  Other incomes

Article 38

The fiscal year of the Society shall be from 1^st January to 31^st December each year.

Article 39

The annual work plan and budget for next year shall be prepared within two months prior to the end of the fiscal year.  The work report and final account shall be prepared within two months after the end of the fiscal year.  The Board of Directors shall review the budget while the Board of Supervisors shall review the final account before proposal to the National Convention of Members (and Delegates) for discussion and approval and then submit to competent authority for record.

Article 40

For dissolution of the Society, the remaining properties shall be attributed to the local governance organization or the organization appointed by competent authority.

Article 41

With regard to matters not mentioned herein, the related laws and regulations shall govern.

Article 42

The bylaws of the branch offices shall be first submitted to the Society for record and then reported to competent authority for approval, which is also applied to amendment.

Article 43

The annual work plan, work report, budget, final account and employment and discharge of important staffs of the branch offices shall be submitted to the Society for record.

Article 44

The Articles herein shall be effective after being adopted by the National Convention of Members (and Delegates) and approved for recording by the competent authority, which is also applied to the amendment.
