Chapter I: General Provisions
Article 1 |
The Red Cross Society of the Republic of China (hereinafter the Society) is established in accordance with the Law of the Republic of China, the Geneva Conventions, and the spirit of principles resolved by the International Conference of the Red Cross and Red Crescent to the purpose of developing fraternity services. |
Article 2 |
The Society takes the name of the Red Cross with a symbol of a white background and a center cross of red.

Article 3 |
The Society assists the government on managing humanitarian matters as follows: |
Article 4 |
The Society is committed to and guided by the seven Fundamental Principles of the International Red Cross and Red Crescent Movement: |
Article 5 |
The Society is the sole organization affiliated with the International Red Cross and Red Crescent Movement and has subordinate branch offices. |
Article 6 |
The Society shall be organized in accordance with the national jurisdiction of the Republic of China and manage the general affairs nationwide. |
Article 7 |
The Society shall be organized in accordance with the national jurisdiction of the Republic of China and could establish a branch office in each municipal/magistrate jurisdiction. Each branch office shall have the name of the Red Cross in suffix with the name of city or county where the office reside in prefix. Each branch office shall be the subordinate and a member of the Society. |
Article 8 |
The Society shall reside in the same region as the location of the Central Government is located. It may set up branch offices in other regions after being approved by the competent authority. |
Article 9 |
The Society shall plan for matters as follows: |
Chapter II: Membership
Article 10 |
All applications shall be submitted with as application form and membership dues paid in full after qualification after review. The Society will register the member into membership list and issue the membership certificate. The membership list of each branch office shall be reported to the Society for future reference. |
Article 11 |
The members of the Society are as follows: |
Article 12 |
A member (delegate) has the right to vote, elect, be elected and recall. Each member (delegate) has one and only one vote. |
Article 13 |
Each member is obligated to abide by the Articles herein, resolutions and to pay membership dues. |
Article 14 |
In the event a member violates the law, the Articles herein or the resolutions enacted by the Convention of Members (and Delegates), the Board of Directors may issue a warning or suspend that member’s membership. In the event of a gross violation, the Convention of Members (and Delegates) may vote to expel that member. |
Article 15 |
Where there is one of following circumstances, the member shall be withdrawn: |
Article 16 |
The membership dues paid shall not be reimbursable if the membership is expelled or withdrawn. |
Chapter III: Organization and Authority
Article 17 |
The Society regards the Convention of Members (and Delegates) as the highest authority. |
Article 18 |
The Convention of Members (and Delegates) shall review and decide the following matters: |
Article 19 |
The Society shall have a Board of Directors consisting of twenty-five directors elected by the Convention of Members (and Delegates). |
Article 20 |
The functions and authorities of Board of Directors shall be as follows: |
Article 21 |
The Society shall have seven Executive Directors elected by and among the directors. Directors shall elected among Executive Directors one President and one to three Vice Presidents. |
Article 22 |
The Society shall have a Board of Supervisors consisting of seven supervisors elected by the Convention of Members (and Delegates). |
Article 23 |
The functions and authorities of the Board of Supervisors shall be as follows: |
Article 24 |
The Board of Supervisors shall have two Executive Supervisors elected among themselves. The Executive Supervisors shall recommended between themselves a convener to supervise the Society’s affairs and serve as the chairperson of the Board of Supervisors. |
Article 25 |
Directors and supervisors are unpaid positions. |
Article 26 |
The directors and supervisors of the Society shall have good reputation, passionate to service, related experiences and capable of developing Society affairs. |
Article 27 |
Where there is one of following circumstances, the director or supervisor shall be withdrawn: |
Article 28 |
The Society may have one Honorary President and certain number of Advisers. Their tenure of office shall be the same as that of the directors in current session. |
Article 29 |
The Society shall have one Secretary-General, one to two Deputy Secretary-Generals and certain number of other staffs. Departmental offices may be set up for the purpose of managing Society affairs. |
Article 30 |
The Society may set up Committees, Groups or other internal organizations; their bylaws shall be first submitted to the Board of Directors for approval and then executed, which is also applied to amendment. |
Chapter IV: Meeting
Article 31 |
The National Convention of Members (and Delegates) shall be convened by the President once per year. Special meetings may be convened if deemed necessary by the Board of Directors, or upon request by more than one-tenth members, or upon request by the Board of Supervisors. |
Article 32 |
The Society shall notify members and make public announcement two months prior to the National Convention of Members (and Delegates). |
Article 33 |
If a member (delegate) is unable to attend the National Convention of Members (and Delegates) in person, he/she may designate other member to act on his/her behalf via written proxy. However, each member may carry no more than one proxy. |
Article 34 |
The resolution of the Convention of Members (and Delegates) shall be adopted by concurrence of a majority of the votes in a meeting attended by attendees representing over one half of all members. However, at least two-thirds of the attendees have to consent when adopting resolution concerning the following matters: |
Article 35 |
The Board of Directors Meeting and the Board of Supervisors Meeting shall be convened once every half year; a joint or special meeting may be convened when necessary. |
Article 36 |
A supervisor shall attend the Board of Directors Meeting and the Board of Supervisors Meeting in person and may not designate any other person to act on his/her behalf. In the event of an absence for two consecutive meetings, the supervisor shall be deemed to have resigned; the alternate director or alternate supervisor next in line shall assume his/her position. |
Chapter V: Budget and Accounting
Article 37 |
The funding sources of the Society are as follows: |
Article 38 |
The fiscal year of the Society shall be from 1st January to 31st December each year. |
Article 39 |
The annual work plan and budget for next year shall be prepared within two months prior to the end of the fiscal year. The work report and final account shall be prepared within two months after the end of the fiscal year. The Board of Directors shall review the budget while the Board of Supervisors shall review the final account before proposal to the National Convention of Members (and Delegates) for discussion and approval and then submit to competent authority for record. |
Article 40 |
For dissolution of the Society, the remaining properties shall be attributed to the local governance organization or the organization appointed by competent authority. |
Chapter VI: Supplementary Provisions
Article 41 |
With regard to matters not mentioned herein, the related laws and regulations shall govern. |
Article 42 |
The bylaws of the branch offices shall be first submitted to the Society for record and then reported to competent authority for approval, which is also applied to amendment. |
Article 43 |
The annual work plan, work report, budget, final account and employment and discharge of important staffs of the branch offices shall be submitted to the Society for record. |
Article 44 |
The Articles herein shall be effective after being adopted by the National Convention of Members (and Delegates) and approved for recording by the competent authority, which is also applied to the amendment. |
